General

The following agreement is between you the member (Member) and Adesa, Incorporated (Adesa). By submitting the online form which contains a link to this agreement and which is hereby incorporated into this agreement you agree to enroll in "AffordableHealthCard" saving program (AHC) which offer by Adesa to his members. By so doing you acknowledge and warrant that you have read this agreement carefully and that you agree to the terms contained herein. This agreement is effective as date of enrollment.

THIS MEMBERSHIP IS NOT HEALTH INSURANCE NOR IS IT INTENDED TO REPLACE HEALTH INSURANCE. You understand that Adesa, AHC provides medical savings benefits only. No payments to medical providers or members will be made by Adesa, AHC. 

You warrant that you have the authority to agree to these terms on behalf of all Adesa, AHC members whom you are sponsoring (e.g. family members or employees). 


Fees and Discounts

All memberships are billed on a month to month basis. You authorize Adesa, AHC saving program, and its assignees, to charge the credit card or bank account you have designated in the application form for monthly Membership Fees for yourself and all Members with an automatic monthly renewal. A one time $15 (fifteen dollar) processing fee (non refundable) will be included in the first month's payment. Members may cancel their ongoing membership at any time by providing written notice to Adesa accompanied by the return of their ID card/cards at least five (5) days before the next monthly payment is due to avoid being charged for the next payment. 

Full payment must be made to providers at time of service as billed to cover providers fee, if full payment is not made on time you will have to pay the provider's usual and customary fee. Network Providers are subject to change at any time and without notice

Adesa reserves the right to modify or terminate this program at any time. Adesa may amend this Agreement including Membership Fees at any time by written notification sent to an address provided by you on the Application Form (including your email address), or to such other address provided by you to Adesa, of any amended terms and/or conditions of the Agreement. Your continued use of the AHC saving program will constitute your acceptance of such amended Agreement.

Adesa reserves the right to terminate any enrollment or deny eligibility in the program for lack of payment to Adesa returned checks, insufficient funds notices on bank drafts or denials by your credit card company for payment of the monthly periodic program fee. 

Limitation of Liability
If you or any member you have sponsored is unsatisfied with Adesa, AHC in any way your only remedy is to cancel you membership. You agree that Adesa's maximum liability under this Agreement for all damages, losses, costs and causes of action from any and all claims shall not exceed the dollar amount paid by you for one month's membership.

Service Provision
Price and availability information is subject to change without notice. AHC saving program and Adesa also reserve the right to modify or discontinue any of their offerings at any time. Discounts on professional services are not available where prohibited by law.

You agree that any complaint brought or remedy sought in connection with goods, services and other benefits received by a Member from a Network Provider under the AHC Program will be directed to the Network Provider of such goods, services and other benefits, and not to Adesa. 

The actual savings that a member may receive will vary and depend upon location and the nature of the specific procedure or service, including prescription drugs. Even though Adesa, AHC and its affiliates and PPO networks will use their best efforts to provide savings benefits for out-patients care and all in-patient hospital visits, Adesa, AHC can not guarantee or warrant that products, procedures, services and facilities are available in every medical situation and/or geographic location. Due to the usually higher expense associated with in-patient hospital visits each member is required to contact AHC's Member Services Center before admission for pre-admission procedures. Member understands there is 30 days waiting period before member can access network hospitals. Based on the hospital selected by Member from AHC's list of available facilities and the hospital's total estimated cost to the member for the planned procedure, Member may be required to submit a pre-deposit to the hospital of $1,000.00 for each estimated scheduled day. If a deposit is required, Member's deposit to the hospital will be applied to the Member's total bill (or partially refunded depending upon the total amount of the final bill) at the end of the Member's hospitalization.

A limited provider directory and member ID cards are provided to Member upon enrollment. The providers listed are subject to change without notice. Members may call the toll-free member services number listed on the reverse side of their member ID card for current provider information.


Usage of this Website for registration and account management purposes

ADESA PROVIDES THIS WEB SITE AND ITS REGISTRATION SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS AND MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THIS SITE OR ITS CONTENTS.

Under no circumstances shall Adesa, AHC or any other party involved in creating, producing, or distributing the affordablehealthcard.com Web site be liable for any direct, indirect, incidental, special, or consequential damages that result from the use of or inability to use affordablehealthcard.com including but not limited to reliance by user on any information obtained from affordablehealthcard.com or that result from mistakes, omissions, interruptions, deletion of files or email, errors, defects, viruses, delays in operation or transmission, or any failure of performance, whether or not resulting from communication failures, theft, or unauthorized access to affordablehealthcard.com records, programs, or services. 

Adesa, AHC makes no guarantee of the reliability of any third party advertising shown on AHC web site.

Indemnity

You hereby agree to, at your own expense, indemnify, defend and hold Adesa. AHC its subsidiaries, affiliates, officers, directors, agents, and employees harmless from and against any loss, cost, damages, liability, or expense arising out of or relating to any claims based upon any Members' acts or omissions. 

The participating providers, including but not limited to dentists, pharmacies and opticians, doctors, hospitals laboratories, are independent contractors, not employees of Adesa, AHC, or its affiliates. Accordingly Adesa is not liable for or responsible for the provision or omission of any medical services, treatments, consultations, diagnoses or advice that may be given or not given to you or to anyone (including your dependents and employees) by medical provider of its affiliates nor any PPO Network of this service. Adesa, AHC does not practice medicine and neither interferes with, participates in or is a part of the medical provider-patient relationship. You agree that the selection of a medical provider is your decision. Adesa, AHC, its affiliates or any provider networks will note engage in the recommendation of any medical provider to enrolled members.
Neither Adesa, AHC any of its affiliates nor any PPO Network shall be liable or responsible to make any payment to a medical provider or other provider of service used by a member of the AHC saving program. Neither Adesa, AHC nor any of its affiliates nor any PPO Network/s shall be liable for or held responsible for any refusal by a participating provider of service's refusal to accept the network rates offered under this Plan.

Non Assignability 

This Agreement is not assignable or transferable by you without Adesa's prior written consent.
Permitting use of your AfforadableHealthCard by a third party who is not covered by your AHC ID Number is prohibited and is a violation of this Agreement. You agree to immediately notify Adesa, Inc of any prohibited AHC use. You will be liable for any unauthorized use of your AfforadableHealthCard until you notify us of the security breach.


Forum Selection and Arbitration

Adesa may assign this Agreement in whole or in part. The laws of the State of Nevada shall govern the interpretation, construction and enforcement of this Agreement. Any dispute arising from, out of, or relating to this Agreement shall be resolved by binding, non-appealable private arbitration, conducted in accordance with the rules of the American Arbitration Association. The appropriate offices of the American Arbitration Association located in Carson City, Nevada shall have exclusive jurisdiction and venue over all matters concerning this Agreement and will be the proper forums for adjudication of these matters. 

Severability, Integration, and Survival

If any provision of this Agreement is held by a court of competent jurisdiction to be illegal, invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. Except as otherwise expressly provided, no alteration of or modification to this Agreement shall be effective unless made in writing and executed by an authorized representative of both parties. This Agreement and any documents referenced in this Agreement set forth the entire understanding and agreement between you and Adesa, AHC with respect to the subject matter hereof. Should any term or condition be in conflict between this Agreement and any document referenced herein, the terms of this Agreement shall control. 

All provisions of this Agreement that by their nature should survive termination shall survive termination, including, without limitation, provisions related to fees and payments, warranty disclaimers, general releases, limitations of liability, indemnity and the general provisions.
